End User License Agreement

Overview

This End User License Agreement ("EULA") is a legal agreement between you and NIVIEM AUDIO LTD ("NIVIEM", "we", "our") — a private company limited by shares registered in England and Wales under company number 17217761, with registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom — for the use of NIVIEM audio plugins ("Software"). By installing or using the Software, you agree to be bound by this agreement.

License Grant

Upon purchase (or download for free products), NIVIEM grants you a non-exclusive, non-transferable, perpetual license to:

  • Install and activate the Software for your personal or professional use
  • Use the Software to create audio content for any purpose, including commercial releases
  • Receive free updates to the Software as they are made available

Paid plugins are activated against the NIVIEM licensing system. Each license activates on up to 5 machines at a time; if you sell or retire a computer, release its activation slot from inside the plugin so you can re-use it elsewhere. Activation contacts the NIVIEM server once — afterwards the plugin runs offline. There are no dongles and no per-session phone-home.

Free plugins are not license-locked: install and use them on as many machines as you own or control, provided you remain the primary user.

Restrictions

You may NOT:

  • Redistribute the Software, whether for free or for sale, in original or modified form
  • Share your license with others, including sharing download links or installer files
  • Reverse engineer, decompile, or disassemble the Software
  • Remove or modify any proprietary notices, labels, or marks on the Software
  • Use the Software to create derivative plugins or competing products
  • Rent, lease, or lend the Software to third parties

Audio Output

You own all rights to any audio content you create using the Software. NIVIEM makes no claim to your music, sound design, or any other creative output produced with our plugins.

You may use the Software for:

  • Commercial music releases
  • Film, TV, and game soundtracks
  • Sound design and sample libraries
  • Live performances
  • Educational content
  • Any other audio production purpose

Ownership

The Software is licensed, not sold. NIVIEM retains all ownership rights, including intellectual property rights, in the Software. This license does not transfer any ownership to you.

No Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NIVIEM does not warrant that the Software will meet your requirements, operate without interruption, or be error-free.

Limitation of Liability

IN NO EVENT SHALL NIVIEM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE.

NIVIEM's total liability shall not exceed the amount you paid for the Software.

Termination

This license is effective until terminated. Your rights under this license will terminate automatically if you fail to comply with any of its terms, and the license key may be deactivated if a refund is issued for the purchase.

Upon termination, you must destroy all copies of the Software in your possession.

Updates and Modifications

NIVIEM may update this EULA from time to time. Continued use of the Software after changes constitutes acceptance of the modified agreement.

NIVIEM reserves the right to modify, update, or discontinue the Software at any time without prior notice.

Governing Law

This agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from this agreement.

Nothing in this clause limits your statutory rights as a consumer where you are resident in the European Union, the United Kingdom, or another jurisdiction whose consumer-protection law gives you the right to bring proceedings in your local courts — those rights remain unaffected.
